Performance Marketing Results Disclaimer

IMPORTANT: NO GUARANTEE OF RESULTS

While we employ proven performance marketing strategies and methodologies, we do not guarantee specific results, outcomes, or returns on investment. Marketing performance depends on numerous factors including market conditions, competition, budget allocation, product quality, business operations, timing, and circumstances beyond our control. Past performance or case study results do not guarantee similar future outcomes.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Growth Catalyst shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, use, goodwill, or other intangible losses resulting from:

1. Your access to, use of, or inability to access or use our services
2. Any conduct or content of third parties on our services
3. Unauthorized access, use, or alteration of your data
4. Marketing campaign performance or lack thereof
5. Any other matter relating to our services

Our total liability to you for all claims arising from or related to these Terms or our services shall not exceed the amount paid by you to Growth Catalyst in the twelve months preceding the claim, or ₹10,000 (ten thousand Indian Rupees), whichever is greater.

Consequential Damages Exclusion

Under no circumstances shall Growth Catalyst be liable for any consequential damages including, but not limited to, loss of business opportunities, loss of customers, damage to reputation, or any indirect financial losses, even if we have been advised of the possibility of such damages.

Force Majeure Provisions

Growth Catalyst shall not be liable for any failure or delay in performance of its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to:

• Acts of God, natural disasters, or extreme weather events
• War, terrorism, civil unrest, or government actions
• Internet service provider failures or network outages
• Pandemics, epidemics, or public health emergencies
• Labor disputes, strikes, or lockouts
• Changes in laws, regulations, or platform policies

Legal Information and Dispute Resolution

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Bengaluru, Karnataka, India, and you irrevocably consent to the personal jurisdiction and venue of such courts.

Jurisdiction

You agree that any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.

Dispute Resolution Procedures

In the event of any dispute:

Step 1: Direct Negotiation

Parties agree to attempt resolution through good faith negotiations for a period of 30 days.

Step 2: Mediation (Optional)

If negotiations fail, parties may mutually agree to mediation by a neutral third party.

Step 3: Legal Action

If resolution cannot be achieved, either party may pursue legal remedies in accordance with these Terms.

Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Severability Clause

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if such modification is not possible, it shall be severed from these Terms.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, which shall remain in full force and effect.

Entire Agreement and Modifications

Complete Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices or agreements published on our website, constitute the entire agreement between you and Growth Catalyst regarding the use of our services and supersede all prior or contemporaneous communications and proposals.

Right to Modify

We reserve the right to modify these Terms and Conditions at any time. Changes will become effective immediately upon posting to our website. Your continued use of our services after such posting constitutes acceptance of the modified Terms.

Assignment and Transfer Rights

Waiver of Rights

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Survival of Terms

The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, limitations of liability, and dispute resolution provisions.
